XYIENCE’S NEXT CHAPTER

Never in my wildest dreams did I ever expect to get invited to a UFC event after beginning my series exposing the ongoing mess over at Xyience, Incorporated. If I doubted that possibility while I was working on the story, I had no good reason to change my outlook after being sued by Xyience for $25 million in the 8th District Court of Nevada in July of this year.

Yet, I just got back from New York City where I stayed in a room on the 30th floor of the posh W Hotel in Times Square in order to attend a UFC event on Xyience’s dime. Even while this lawsuit hangs over my head, I was there at the fights and invited by Xyience to take it all in. I clearly didn’t imagine actually sitting in the stands in Xyience’s seats and seeing UFC 78 live. That happened. It doesn’t make any sense, but it happened. I even had a witness who saw the fights with me and met some of the Xyience folks. I brought a friend in the Web-site business from Newark, New Jersey where the Prudential Center Arena that hosted the fight is located. He can vouch for me that I really was there.

What began as a minor inquiry into a questionable situation at a supplement company has now blown up into a full-scale monster of a financial mess. A new chapter is unfolding, one much more intriguing and powerful than anything I have produced thus far. The latest infusion of capital and the circumstances surrounding the delivery of this deal is coming to light and looking extremely damning for the players who made it happen. What appears to be happening now is a situation in which the new investors are trying to bankrupt the company and write off the rest of the people who put in money early and stuck with this company from day one. All of this is resulting in a level of infighting that has left both sides now seeking to enlist my help.

No, I’m not dreaming, I keep telling myself. This is really happening.

First of all, the players who invited me to the Big Apple are Xyience CO-CEOs Adam Frank and former Global Cash Access Holdings Director Kirk Sanford. Both have some skeletons in their closet as far as their past business dealings, and both men are also dealing with a significant backlash due to the stock options they set themselves up with and the 600,000 shares they each acquired when they came on board the Xyience train. These guys contacted me and made it appear as if they wanted to put everything behind them. They kept telling me the lawsuit would be over and they just wanted to meet with me and talk about the future of the company. They even talked about hiring me on as an advisor to the board of directors.

Naturally, I don’t necessarily think it’s cool to be walking around with a $25 million lawsuit hanging over my head. I figured I’d hear them out and see what they’d bring to the table to end it. These guys acted like they were intent on really helping the company get cleaned up. Yet, over time and interaction with Frank and Sanford, I realized that my trip to NYC would be better off as a recon mission. I took the opportunity of our first lunch meeting to invite a new friend to our table who works for a company in NY that provides capital in situations exactly like the one Xyience is facing right now. Frank and Sanford seemed a bit miffed, but they accepted our new guest and soon were talking to him about the future more so than me.

They even wanted to know how soon and how much money they could get out of this company if they needed it. My friend told them of one instance when his company provided over $1 million in a 24-hour period for a California power company.

The tone of the conversation had Frank and Sanford maintaining over and over again that the company needs to be bankrupted. They also repeatedly mentioned the 340 investors they would have to buy out or appease if they chose another route. That’s when my friend suggested the “knock on doors” approach. Basically, that procedure involves going directly to investors and buying them out one by one.

When asked if the plan was to ultimately go public, Sanford was especially irked by my line of questioning pointing to the Fertittas favoring private companies over public ones. He finally explained that they would do whatever they had to do to make sure the company is the most profitable it can be.

When we concluded lunch, Frank and Sanford each plopped a $100 bill down on the table for me so I could get a ride to Newark for the fights. I told them I spent just about all the travel expenses they sent me for the trip on my suit, which was true. I went the extra mile to look professional only to arrive to find Frank and Sanford dressed like they were ready to go on a camping trip.

My first impression led me to believe both men were trying to take over Xyience for themselves and reap all the benefits with a much smaller group of investors than they currently have to deal with. Coupled with the Fertitta Enterprises contribution, it looks like Frank and Sanford are in position to be part of the company’s new regime whenever the current mess is sorted out. Yet, all their talk of cleaning up the company didn’t match up with what they told us they wanted to do next.

My friend and I spoke at length after Frank and Sanford left the restaurant. This potential investor/financier I had just met was eager to provide capital and help this company out of the current mess. One of the shareholders in the other camp trying to oust Frank and Sanford complained to me recently to let me know that the new leaders of Xyience just can’t seem to find the capital they need to keep the company out of trouble. Yet, I found it easy to find someone with enough capital to help, and here I am just a blogger with virtually no business and financing experience.

It is my humble opinion that Frank and Sanford don’t want to find new capital. They instead appear more willing to bankrupt the company, reconstitute it, and rake in the profits without having to share revenue with a huge pool of folks that bought in early when the company was looking a heck of a lot more successful than it looks now.

What also baffled me is that my friend found me by looking at my blogs about Xyience. The Xyience lawsuit claims that my stories made it practically impossible to find investors to put money into this company. Yet, I only made one phone call and found someone willing to offer up his company’s extensive coffers to help.

Later on, I reconnected with Adam Frank at the venue. My fellow Web-site entrepreneur friend met me there late after a whole lot of hassle trying to network with him and figure out where he was. I went to find Adam Frank in the Xyience suite they had for the fight, but I ended up spending most of the night in my seats. Frank was scarce for most of the evening, and even before my friend arrived he didn’t seem very talkative. It appeared to me that these guys had no plan as to how to deal with me. I had documents and paperwork in hand that I almost passed off to them in hopes of getting a deal done, but something held me back. Something was not right.

After watching the great card, I wasn’t able to locate Frank at all. I called him and asked if there was anything going on afterward, giving him one last chance to meet and negotiate. He never called back.

Having had no chance to do any real business as far as planning for the future, the trip became more valuable to me as an informal deposition. I was able to measure the commitment of these two men, and I found it lacking. As far as making sure there is really an effort to clean things up, I think I came away with the impression that the Xyience situation is only getting worse. I was disappointed in Frank and Sanford’s approach to things, and I am glad I had a business and financial expert by my side to get everything out of them in discussion. Had I been there alone, I wouldn’t have thought of half the questions to ask about the business aspects of the situation.

I ventured home via Laguardia Airport and set the stage for how to proceed. Such a big charade is par for the course with Xyience, as that is how I was told they attracted much of their initial investors. They get them to come to the fights, see the Xyience name associated with the big UFC event, and wine and dine people into chipping in. I have to admit, I was spinning my wheels thinking of how I could chip in after all was said and done and I was in the air on the way back to Boston.

My latest motion set to be filed soon in my lawsuit asked for $1 million before the trip. I figured I’d start the negotiations there, and I did so through some detailed emails explaining how I thought I could help from the inside. I even offered to have the contract structured over 2 years.

Putting all that out there wasn’t enough, though. I knew there also had to be an alternative plan, which would be to keep the lawsuit going. To me, I felt a bit disrespected by the whole process, because Frank and Sanford assured me the case against me was going to be over soon, and I told them I wanted it over and done with by the time I got to NYC. They lied to me. Then they told me they were going to give me $5,000 for travel, and they only gave me $500. On top of those red flags there was the affidavit Frank signed that is the centerpiece of the case against me:

Whatever the possibility of me coming on board at Xyience, which I knew was probably pretty far fetched anyway, I still had a $25 million case hanging over my head.

To me it felt like someone pointing a gun at me telling me they’re not going to hurt me, but they never stop aiming it at my head while I talk to them. The lawsuit itself was like someone punching me in the head and then turning around and suing me for hurting their hand. It was always Xyience defaming me through subversive blogs that spouted complete bullshit and didn’t even include one shred of proof. I only printed the truth.

So, I decided to play hardball when I came back from my trip. I increased the asking amount in my motion for Rule 11 sanctions to $5 million in damages and financial sanctions against the plaintiff. I feel like a message needs to be sent here. Corporations can’t be permitted to crush innocent people under their feet. If I stand in the way of Xyience making a bright future possible for themselves it is only because I exposed the truth about what they were doing wrong. If my stories were lies the suit would be applicable and needed, but they were not lies.

BERGERON’S RULE 11 MOTION

Whatever happens from here, I am in a promising position. What began as a skeptical public saying I had some grudge against Xyience has now resulted in lots of people starting to come out of he woodwork realizing I am right. Some of the more mainstream MMA press backed my reporting up with recent stories that confirmed what I wrote months ago. The general public is even starting to sniff out the truth. Blog comments I’ve read about the subject have featured most people giving me props for sticking to my guns.

However, I know I still ought to and need to do the right thing here. I need to carry this through to the end and make something good happen here with Xyience if I can. People on all sides have told me how damaging my pieces were to the company, and I am honestly sorry about how that might have affected the innocent folks there just doing their jobs. Yet, the ultimate purpose was always to do a great deed and expose the shady behavior so it could be fixed. Now it appears that the involved parties have vastly different ideas about what it will take to truly fix this broken company. The infighting threatens to destroy Xyience from within, and I’d hate to see that happen. Although it makes it easier for those attacking me to believe I have it out for Xyience, I really don’t. I have always wanted to see this company cleaned up and put back in line to be a great contributor to the MMA scene again like it once started out to be.

    Yes, it appears that these two want to screw the old investors and have never cared about Xyience.

    How sad that people are so greedy, that they are willing to ruin lives without feeling any guilt.

    It appears that Russell Pike is fighting for his life; fighting to save Xyience. He’s putting everything he has into this lawsuit; the more the shareholders find out about Adam Frank, the more they clamor for the return of Russell Pike as CEO… If anybody can save Xyience at this point its Russell Pike. Adam Frank’s days at Xyience are numbered- look for Mr.Pike to be returned to CEO at the next board meeting. More to come- stay tuned

    I heard Adam and Kirk are so desperate they have started to make false reports to certain government agencies regarding Pike and others standing up for the shareholders. It’s obvious Kirk is going to jail regarding the recent GCA investigation, so he’s got nothing to lose. I find it peculiar that Adam Frank’s multi-million dollar condo just happened to have been “sold” to an LLP in October in order to get it out of his name. It was sold to an LLP in which its only officer/director is his mommy and daddy’s trust. RED FLAG IRS! What are you afraid of Adam? I thought you were the honest one. While the last time the company was actually growing it was under Pike’s control, maybe it’s time for 100% change in management and, oh my gosh, an independent board of directors? God forbid! Keep up the good work Rich, I’m very interested to see what these two morons try and pull next.

    Xyience to Replace CEO’s Adam Frank and Kirk Sanford with Russell Pike
    Unhappy shareholders bring news that Xyience is moving to replace its current CO-CEO’s, Adam Frank and Kirk Sanford. This comes after two high level investigations into CO-CEO Kirk Sanford this year in the wake of Xyience’s lackluster performance. No timeline has been given for Sanford and Frank’s oust, but unnamed sources indicate that it will be sooner rather than later.

    TheStreet.com now reports that sources are telling it that AMD CEO Hector Ruiz is possibly stepping down from his post. TheStreet.com’s unnamed source says that AMD President Dirk Meyer was appointed to the board last week and that plans for Meyer to take over the position of CEO for AMD has been in the works for some time.

    I hope this post about Russell coming back is true. Xyience could still recover after all their hard work in the past.

    Adam and Kirk need to resign immediately. They are trying to destroy Xyience and everybody in their path. That is wrong.

    I just read somewhere online that the new Adam Frank family LLP was called Ming Dynasty.

    Could this Yahoo Finance poster called mingdynasty in the GCA board be him?
    His other posts are odd.

    Kirk Retiring

    The business wire says Kirk Sanford was retiring. Most likely he was fired. The rumor is, someone connected with one of the large institutional investor in GCA approached the shareholders of Xyience and personally asked them not to name Kirk Sanford in any lawsuits, because of his troubles with disclosure also and many other things, until after the report earnings on November 7. The shareholders declined and GCA must have put it to Kirk you are fired or “retire”. They want to distance themselves from Kirk do to the fact of a major lawsuit against Kirk for many numerous securities violations to the shareholders and the lack of disclosure of Xyience. Sounds familiar? GCA’s institional investor knew that once a lawsuit is filed against Kirk, he must report it to the SEC that a lawsuit that is dealing with shareholder mistrust is filed against him. It will not look good to GCA. It should still make you wonder with all the lack of disclosure from GCA, under Kirk, and him being replaced before the annual report, and Kirk being named in lawsuits from other company’s shareholder for mistrust and much more, what is going on with GCA?

    Pike is a cry baby, because now he cannot sell his 12 million shares of Xyience stock whenever he needs money to gamble with. Pike is also pissed because Adam and Kirk out smarted him and now, someone else controls Xyience. Pike and others have been using Xyience as their personal piggybank. They were buying pissed off investors shares for pennies and resell them at a huge profit. The game is up and the authorities have stepped in.

    Pike was CEO when Xyience lost 56 million dollars. Pike was also in charge when the company almost went broke on several occasions. Pike has been issued a Desist and Refrain order from California for his illegal activities. Pike and his inner circle are being actively investigated by the F.B.I. and the I.R.S., plus soon the Nevada Attorney General’s office is going to make their move on Pike and associates.
    Pike, was in charge when Xyience screwed over Phoenix Labs, Basic Media, Neiber, Owens, Rayford, Zebee, Taulelei, Hucks and a multitude of other venders, distributors, and manufacturers.
    Because of Pike, Xyience is being sued by several companies and individuals. If Pike wouldn’t have mismanaged the company, Xyience would have never had to do the investment deal with Adam and Kirk’s group and be put in the situation they are in.

    Pike was in charge when they sued you, Rich Bergeron for $25,000.000.00. Rich were you aware that Pike, Solomon and Rinato were the reason you got sued? Solomon has it out for you. He is the one who is behind the internet blogs, slandering and defaming you and Neiber. He stands to lose a lot if Xyience goes bankrupt.
    I left Xyience over a year ago. I saw first hand the huge money all the “consultant and contractors” that were on the payroll, under Pike’s rule were taking from Xyience. Pike even has his brother Billy, his wife Jennifer and his kids on the payroll. I saw how Pike screwed people and companies over and manipulated contracts to their advantage and even canceled contracts to screw people over.

    Pike is a crook and always will be. I am glad to see that Karma finally caught up with him and the rest of his gang. Now, they all know how it feels to get screwed over. Pike you deserve what is happening to you. The best is yet to come. Before the year is over, you and several others will be behind bars. Mark my words. Maybe now, you will start to wonder if those two individuals were worth it. I predicted the downfall of Xyience. The only hope for Xyience is to file for bankruptcy protection and then weed out all the corrupt players Pike brought in. If Xyience cleans up and can keep Pike and his group out, they might make it down the road. I wouldn’t bet on it though. Rich, you are to be admired for your courage and determination through all of this. Not, many people would stand up and do what you have done to expose the corruption at Xyience. I commend you and your valiancy.

    I just got an email from an ex-employee who said he was fired due to his relation to shareholders and past management. The contact said that their HR person Vicki DiBernardo has been paid off by Kirk and Adam, 120k salary and 200,000 stock options? That sure seems like a lot of money for a company with dire financial issues! She firing people and not giving them legal reason, making up information, and still standing up for Kirk and Adam? This is the same person who called one of the shareholders a bitch because she was asking too many questions? Doesn’t sound like she’s protecting the company, its shareholders, or employees. I wonder how many people have been brainwashed and given the Kirk and Adam Koolaide in addition to Vicki Di Bernardo?

    Yea, don’t forget about all the UFC fghters that Xyience screwed over while Pike was CEO. I still don’t understand why the UFC would ever want to be involved with a criminal like Pike. Plus, didn’t you hear about the Xyience joint formula that Sherk was taking being tainted. Xyience supplements suck.

    Pike was in charge when they sued you, Rich Bergeron for $25,000.000.00. Rich were you aware that Pike, Solomon and Rinato were the reason you got sued? Solomon has it out for you.     I left Xyience over a year ago. I saw first hand the huge money all the “consultant and contractors” that were on the payroll, under Pike’s rule were taking from Xyience. Pike even has his brother Billy, his wife Jennifer and his kids on the payroll. I saw how Pike screwed people and companies over and manipulated contracts to their advantage and even canceled contracts to screw people over.

    Pike is a crook and always will be. I am glad to see that Karma finally caught up with him and the rest of his gang. Now, they all know how it feels to get screwed over. Pike you deserve what is happening to you. The best is yet to come. Before the year is over, you and several others will be behind bars. Mark my words. Maybe now, you will start to wonder if those two individuals were worth it. I predicted the downfall of Xyience. The only hope for Xyience is to file for bankruptcy protection and then weed out all the corrupt players Pike brought in. If Xyience cleans up and can keep Pike and his group out, they might make it down the road. I wouldn’t bet on it though.

    What a twist of fate. I am also a investor that got taken by Pike. I had to sell my shares back to him for .25 a share, when I originally paid $3.00 per share. I got screwed. Pike scammed me. I don’t feel sorry for him or Xyience.
    Now, the shareholders, who by the way, didn’t pay full price for their shares are crying the blues. Maybe now, they can feel the pain of having everything stolen from you.

    From what I understand the COO Omer Sattar is the nephew of Kareem. He got canned from GCA and was immediately sent over to Xyience to help the other two idiots accelerate in destroying the company. Some of us think Kareem sends Omer into his businesses to keep an eye on things. As far at the qualifications we dug up, he was a carpet or furniture salesman in a company in Florida that went out of business. His “daddy” Kareem has got a lot to lose in both GCA and Xyience. I’d like to know more about this sealed crime history.

    Xyience employees say he’s taking over the place, rumor has it some company VP’s are on the chopping block this week as to allow Omer even more control over Xyience business.

    Hopefully the UFC will step in and help make things right again for Xyience. I think they have that kind of power.

    It would seem to me that after looking up Kirk Sanford’s reported stock transactions, that he has big problems with the regulators, specifically the SEC. He has sold millions of dollars in stock, then resigned, then sold another $1.2 million in stock, then an investigation is launched and the stock drops to under $4.00, incredible. And now this Kirk Sanford is at Xyience, giving no disclosure over there, and their stockholders are talking about filing a class action suit naming this guy. He has big problems. What are the casinos going to do with GCA and Sanford under investigation? It seems as if it only gets worse from here

    Rich, I just listened to Adam’s and Kirk’s conversation with you, there seems to be some inaccuracies in their statements. How can that be? Not from the Co-CEOs. Where do I start? I guess at the beginning.

    Kirk Sanford has been member of the board and has been the de facto CEO since the end of May. When Kirk said: “I don’t know whose legal counsel this is.” He lied. There is documentary evidence that not only he knows who Jamie Cogburn is, but also that he lauded Cogburn’s efforts in this lawsuit and approved of the lawsuit as a member of the board.

    Adam Frank signed the original affidavit on July 7, 2007. So either Adam Frank was lying to you in the telephone conversation, or he is in violation of NRS 53.045 and is guilty of perjury as he signed the affidavit.

    When Sanford said: “we actually go to your website to try to figure out what’s gone on around this place.” He lied. Adam Frank has been involved in every dilution of stockholders and every behind the door scheme since January. The only thing that bothers Sanford is that he only started to put his fingers into the pie in March. Since then they have worked together to defraud the stockholders and steal the company.

    When Sanford said: “Since you know we uh, we got here right around June 1st.” He lied. Adam Frank was a director since the end of January and admitted to receiving a kick back when Patrick Brauckmann and Adam Roseman put together a scheme to defraud the stockholders with a 28% dilution of their investment in February. They were trying for a 52% dilution but Roseman had a big mouth and let the cat out of the bag a day early. I will go into this, in detail, another time.

    On March 7, 2007 both Frank and Sanford each received 600,000 stock options for “consulting”. I guess they forgot to mention that, because they hadn’t gone to your website yet to find out, because they just “got here right around June 1st.”

    Kirk Sanford is such a megalomaniac he had to make himself a director two months early. He states in the telephone call: “…I became a director on the board, sometime in, I guess, March.” He became a director in the end of May. Kirk even said earlier that “we got here right around June 1st.” Or is it March? Kirk contradicts himself from sentence to sentence.

    When Sanford said: “Our focus…has just been on the business…trying to build something we think does have a lot of opportunity.” He lied. Adam Frank and Kirk Sanford have destroyed sales and stopped investment in Xyience. Sales in the third quarter were below their own projections by 50%. The supplement part of the business is all but destroyed. Kirk Sanford and Adam Frank still refuse to disclose any information to stockholders. And no wonder why.

    What did they say that was the truth, several things. Sanford spoke of “past wrong doings” and “massive amounts of liabilities.” He should know. He and Adam Frank took part in them. Sanford also speaks of “executing the business.” That’s exactly what he and Frank did. They executed Xyience.

    Adam Frank states: “We’re just not comfortable if you’re recording.” Who would be if every other sentence out of your mouth is a lie.

    Adam Frank goes on to speak of tons of lawsuits. What he fails to say is that most of these lawsuits were either frivolous or fraudulent and were dismissed. But the next lawsuit won’t be frivolous and won’t be dismissed. The two main defendants will be Adam Frank and Kirk Sanford. If this telephone conversation is any indication of Adam Frank’s and Kirk Sanford’s ability to testify under oath, the plaintiffs will win their case with ease.

    I know you have a hard–on for Pike, BUT is there any scenario that you can see where he returns to “power” and we get better results than the guaranteed destruction of the company that results from keeping the CO-Morons in power?     This guy is the most annoying person ever. If he were ever in charge, nobody would ever work there. He would sell his own mother for a dollar, (he did already trick his family out of his father Mortimer’s money when he died.) His own brother is suing him in Florida, check it out and the rest of his legal history both civil and criminal in Florida. Solomon was also involved with questionable activities at a bank in Wheeling West Virginia called First West Virginia Bancorp Inc. Investigators are currently looking into it.

    Paul would be a good plan D, if the others were unavaliable. I might take Billy Pike if Russel was unavalible, but only if Russell could be reached on a daily basis for advise.

    I’d pass on the others, probably hire some “no-name,” “joe Smoe” off the street to front as CEO,(if the first 3 were not avaliable), have my first choices on speed dial to run the show from the outside.

    Rich, more background on the truth of Xyience; It is interesting that the people posting on this site, Russell Pike, a.k.a. (mmabadass), Ronald Solomon, a.k.a. (James Williams, Reggie O, Ming Dynasty and many more,) plus Tricia Weldon, a.k.a. (Lady), are the ones who PUT NOTHING into Xyience.

    Pike, started the Xyience Company, WITH OTHER people’s money, after stealing John Scott’s Nitro’s company and connections with the UFC. Pike put NONE of his own money into the company, because he had no money at the time. After the failed Supplement Store’s business venture, he had Mike Clark leverage his property to get the start up capital. Andrew Kriechbaumer, came on board and after hustling friends and family, got Xyience’s further capital. Then Pike gives himself 12 million shares and a fat salary of $175,000. Plus, for the last 4 years has been taking further monies from Xyience and putting it in the names of Pike Family Trust, Pike Family Trust II, and the Courtney/CINA Pike trust. Why all the trusts? Because Pike still has a multimillion dollar judgment hanging over his head, from his past fraudulent actions he got busted for.

    Ronald Solomon, (nutball), put no money into Xyience. He was given shares of Xyience stock, as a fee of 10% of all the investor money he brought in. Interestingly, none of the shares are issued in his name, but ghost companies under other people that he has full access to. Why, to avoid paying taxes and also because of the litigation he is involved in with his family, plus to shelter himself (he thinks) from future litigation. His game is up.

    Weldon, who was given, shares of Xyience as a “consultant”. She earned it though, the old fashioned way, (lying on her back). She also, under the direction of (nutball) has the shares in ghost companies, to avoid taxes and litigation. Her game is also up.

    Richard Klingenberg, who did a pretty good job in sales for Xyience, also has his shares issued in the Klingenberg trust, to avoid taxes and litigation, plus he also has a judgment hanging over his head for selling tax evasion software. Rick, was also receiving a fat salary of over $10,000.00 per month from Xyience.

    Rich, these individuals put no hard money into Xyience, but are the biggest complainers on this site. Solomon is trying desperately to get investors to file a class action suit against Frank and Stanford. How, stupid is that. Face the hard facts, Solomon the investors that you brought into Xyience should sue you for false representation. You knew Pike didn’t disclose the facts of his criminal past to the investors. If I invested money through you into Xyience, I would hold you responsible for any lose.

    The best hope for Xyience, is to keep the current board in place. They now have the UFC backing and if left alone, can turn Xyience around, now that Pike, Solomon, Rinato and others who used Xyience over the last few years as their personal piggy bank are finally out. Sorry, old regime, your days of living on investor’s money are over. To all the former investors, look deep at who swindled you, therein lays your lawsuits.

    1) Yes, Mr. Solomon went through a divorce and gave a six figure settlement, while you went through one divorce and one annulment. In the divorce, your first wife accused you of threats, harassment, physical abuse and mental abuse. You didn’t give your first wife or your child a dime. You’re still behind on child support payments even tough you ripped off your second wife for over $100,000.00. Your second marriage ended an annulment. The judge granted the annulment on all the grounds in the complaint and they were fraud, battery, domestic violence, conversion and attempted conversion. What settlement did you give her? Nothing! She didn’t want anything, except to get rid of you. And what did you do? You harassed, stalked and attempted extortion. Just as you did to your first wife, except she had no money for you to extort.
    2) Yes, He has been pulled over for DUI and they confiscate your car, his was a Jaguar which he recovered, he had two Rolls Royces, too and the largest penthouse appartment in Florida, things you’ll never have. But when you were arrested for driving DUI, they didn’t confiscate your car because it was a piece of junk! The car you drive now was paid for by your second wife that you abused, is that part of the conversion the annulment complaint?

On November 15, 1996 when you were going through the divorce with your fist wife that accused you of physical abuse, you left a message on her friend’s answering machine: “You fucking, you fucking faggot.     And a year later, that’s exactly what you did to an innocent victim. On November, 22 1997 you were arrested for torture, mayhem and assault with a deadly weapon. Here is an except from the court report transcript: “…the defendant approached the victim from behind, smashed a high ball glass into the victim’s face, and then smashed it into the victim’s face several more times while holding the victim in a headlock…the victim was rendered helpless after the defendants first blow.” The victim was left partially paralyzed and permanently disfigured.     On September 10, 2005 on your honeymoon in Hawaii, that your bride paid for, were you not arrested for physical abuse? Wasn’t the victim your bride? And didn’t you use your wife’s company’s debit card money to bail yourself out of jail? Maui Case #05-80999

    On March 12, 2007 were you not arrested for aggravated stalking and harassment? Who are the victims? Aren’t these the same people you have threatened to kill and victimized before?     The civil cases against you are going forward, like the criminal cases, you keep on making stalling tactics, motions and postponements. These tactics are only done by a person who is guilty and buying time.     Rich, this will be an eye opener for you, it is very interesting that Mark Neiber in two previous posts under PLEASE POST THE FACTS and EX XYIENCE EMPLOYEE, Neiber says: “THE ONLY HOPE FOR XYIENCE IS TO FILE FOR BANKRUPTCY.” This proves what he is all about. He knows Xyience owes him nothing. He knows he created fraudulent documents to cover up the fact he committed fraud. The reason he stalls in these court cases is because he knows all this evidence will be put before judges in summary judgment hearings and at trial.

    To make myself clear, I would rather see the company destroyed than to see the Fertita’s and the CO-Moron’s screw the 340 original shareholders. Hopefully they give up and resign, BUT if they chose to stay and fight this out, it will be a bloodbath where no one wins. It’s kind of like the Israelis holding all the nukes in the Middle East.     Xyience under the bad management of Pike never should have done the AA Capital Partners, Bush Monroe Fund, deal. Greed always loses in the end.
    There is a particular part in the Global Settlement Exhibit, p.5, third bullet point, which will be one of the smoking guns in the Weldon lawsuits. “Russell Pike will escrow 2.5 million shares in order to support the breach of any representations and warranties and to settle third party claims, that the Company, in good faith, determines are the liability of Russell Pike (excluding in any event any settlements with any existing employees or consultants, including Terry Cardenas, Trisha Weldon or Ron Solomon).

    I have been told by top government attorney’s that Pike’s lawsuit is moot and will not stand up in court. Interestingly, some of Pike’s own admissions will be used against him.

    If they really want to see Xyience succeed, then they must accept offers from people like that guy Rich brought to the table.

    There is no reason for Xyience to go bankrupt if outside investors are interested in saving the company.

    Deception is wrong. But, there is still time for them to do the right thing.
    I have faith in people.
    Even if someone did wrong in the past, they can still change their path to do great things.

    Someone asked for my advice so here it is:

    Xyience needs to be independent from the UFC completely. To have the connection with the Fertittas is a blatant conflict of interest.

    The current situation seems to leave no other option but bankruptcy, but to avoid a major fallout with all previous investors, some steps should be taken to make sure everyone’s investment is safe. For those that were not involved in the scams and the fraud that brought the company to its knees, the right thing should be done. They should get a piece of the new pie. The problem is that it’s going to take a while for the feds to sort things out and punish the right people.

    Xyience is worthless right now, and it needs some serious capital. If the Fertittas really want to dump money into it, they shouldn’t be so bashful about it. They ought to have a press release put out, formalize the arrangements, and tell the world what they’re up to. Otherwise, they’re just using Adam and Kirk as the fall guys.

    The whole under the radar loan makes no sense to me unless the UFC is purposely hiding something here. Why would they not disclose their relationship to this deal unless there was something they were trying to keep quiet?

    I’m working on a whole new piece that explains everything. I find it rather entertaining that all the same folks who blasted me before for telling the truth are jumping on the bandwagon now that they’ve been lied to by the new players, too. Now that everyone can see I want the best for the shareholders and never meant to harm the company, everyone wants me to keep up the hard charging.

    This situation leaves me wondering who can be trusted at all in this situation. There’s more waffling in this discussion than there is in a presidential debate.

    Anyway, I just want to print the truth about the whole thing and get to the deeper story: What is the UFC hiding?

    Either way this thing goes, all I know is that my stories will stay on this site, and I will continuously fight to get them reposted on Google as long as I have to. I will fight my case to the bitter end and do whatever I have to do to prove the whole case against me was a sham to begin with.

    Adam and Kirk had a chance to negotiate properly and put this situation behind them, but they chose to take offense to my approach, as if they were the ones being sued for $25 million for doing nothing wrong.

    Rich, It appears as if your opinion has changed as well. As you have learned from your meeting with the Co-CEOs, there are other ingredients in the mix. And what a concoction it is! Some of he people who supplied you with information early on were con artists, who never contributed anything to the formation of the corporation and never will. The current board of directors is the prime example of these kinds of people. Adam Frank, Kirk Sanford, Kathryn Lever, Patrick Brauckmann and William Bullard, secretary of Fertitta Enterprises are a very interesting group of characters. The only thing that separates them from the MORE XYIENCE TRUE FACTS poster is that these people have money.

    Numbers don’t lie and they know it. Let’s forget about all the nonsense and look at the numbers. The fourth quarter of 2006, Xyience had the best quarter in sales ever $7.8 million. Sales were growing. Sales for the second quarter 2006 were $2.9 million, sales for the third quarter were $5.9 million. Since then, the debt on the corporation has doubled, sales have been destroyed, key relationships with mass market, specialty market and convenience stores, built up by years of hard work, have been destroyed. The base business of the corporation, the supplements and nutritional products division, has also been destroyed. Since then, little capital has been raised. A fast and ambitiously growing corporation needs constant new capital. Since the end of last year, the number of shares stock outstanding has more than doubled, the number of shares authorized has more than tripled.

    If little capital was raised where did all these shares, warrants and options go? ONCE AGAIN, NUMBERS DON’T LIE! The current board of directors can tell you. They won’t. But I will. In the last quarter of 2006 there were 45 million shares outstanding and 60 million shares authorized. Now there are 100 million outstanding and 200 million authorized. Only five million shares were used to raise capital in 2007 and that was by Bill Underhill. Five million options were used for legitimate compensation, so where did 45 million outstanding and 145 million authorized go? They went to the people on the current board of directors and the people they represent. And as approximately 100 million of the authorized are now and always have been outstanding, as their “Strategic Ferttitta Enterprises Funding” has always been a shell game, that was going to be immediately exposed and go into default and William Bullard, John Mulkey, the CFO of Zuffa LLC, Adam Frank, Kathryn Lever, Patrick Brauckmann and Kirk Sanford have always known it. Now I will show you where the stock, options and $0.01 warrants, yes that’s right, warrants to buy stock for a penny a share, that were given away to the self dealing, inside board of directors, who have NEVER BEEN ELECTED, went. I’ll bet that most of the stockholders who are reading this don’t even know who these people are. But they all know who Adam and Kirk are. Those are the two people who lied to the stockholders’ faces in their “Investor Conferences” in early July. These two Co-CEOs said and I will quote: “material strategic and financing decisions must have complete visibility…accountability and reporting to shareholders…constant and accurate message on the state of the company and risk to their investment.” Well Adam and Kirk, a bankruptcy judge is going to love that. But I am getting off the subject. So where did all these authorized shares of stock, warrants and stock options, that in any normal growth company would have been used to raise capital, go for nothing?
    Here’s the list and the board member (BM) that represents them:

    Fertitta Enterprises
    BM Bullard: 109 million $0.01 warrants
    Kirk Sanford
    BM Himself: 600,000 shares, 4.1 million options
    Adam Frank
    BM Himself:600,000 shares, 5.05 million options
    Key Management
    BM Patrick Brauckmann: 10.9 million shares, 3.5 million options
    Kathryn Lever
    BM Herself: 250,000 options
    The rest of “the Xyience team”: 11 million options

    Mr. Brauckmann also has some friends, who he compensated under the table, that helped him get his 10.9 million shares and 3.5 million options and a note for $5 million. But he won’t tell you who they are, but I will. They are Jeff Dash, the then Xyience CFO, our friend Adam Frank, and Adam Roseman, the then Xyience CEO and board member. Talk about a breach of fiduciary responsibility and self dealing. Oh, yes the $5 million note. We do owe him and his friends another $5 million for diluting your shares and strangling your company.

    And what board member is missing? Who has been left out? I’ll tell you, the most important board member, the member who is not on this current board, the member who is the definition of what a board member is: A PERSON WHO IS ELECTED TO THE BOARD OF DIRECTORS TO REPRESENT THE STOCKHOLDERS.

    There is no reason to go into bankruptcy if these people immediately resign and their fraudulent fundings, or should I say strangulations, are undone. A court of law will do that, and they know it. If they don’t, they are delusional.

    Put down the fu**ing Kool Aid and take three steps back.

    Jesus, hopefully when you sober up there will be a mirror around so that you can see what an unwiped ass looks like.

    Xyience can probably never go public. No institution would be stupid enough to underwrite it given the never ending due diligence it would take to just read this Blog.

    There may be an opportunity for the company to be acquired at some multiple of its EBITDA which is a long way away at this point.

    The Board needs to be wiped, management wiped clean and serious professionals brought in quickly to assist with the recapitalization of the company SUBJECT TO agreement with Mr Fertitta. We are talking days here, not weeks because when the company heads to the Bankruptcy court, not even the Fertittas will be able to save it. Not this time.

    The shareholders MUST IMMEDIATELY hold a meeting to replace the board. Then, find management and $$. They also have to be willing to expect a pretty severe haircut because the company isn’t worth much in its current state, to anybody. Smart money says 25 cent shares can be worth $10.00 one day. Anybody expecting much more than that in today’s valuation is smoking dope.

    The options or warrants that Tweedle Dee and Tweedle Dumb gratiously awarded to each other as a success fee for pillaging the company should be recovered by lawsuit. Clearly they were acting unreasonably and outside their fidicuary responsibility to the company.

    The company also needs really good legal counsel to get through this.

    Here is my bid: If by December 14 there is not a new board in place you can all start papering your bathrooms with your stock certificates.

    And if anyone has dilusions of bringing Pike back as CEO, please, go seek help for yourself because there is really something wrong with you.

    Last night I received Frank and Sanford’s answer to the Pike case, which was a bit surprising, but not very much. I found it laugh out loud funny that they begin their counterclaim by maintaining Xyience is a publicly traded company. Guess they didn’t have much time to go over this thing with their lawyer. Way to go guys, start off your whole case with a lie.

    I found it even funnier that their evidence is so miniscule. They are trying to press a civil RICO counterclaim with two exhibits????? What kind of crap is that? I think they might be on the right track and on their way to a slam dunk win if they actually take the time to get their facts straight and the extensive evidence together that would really show RICO.

    The worst part of their counterclaim is that they somehow hope to get triple the amount of what Pike embezzled as a reward for being sued by Pike. Whatever money Pike stole needs to go back into the company where it belongs. If Frank and Sanford want to do right by this company, they need to stop thinking of themselves. They need to stop alienating the folks who could help them and start thinking of alternatives to bankruptcy.

    I have not seen Pike’s lawsuit but I have heard about the counterclaim which is laughable. I also read the summons by the IRS and anyone who thinks Pike can provide good governance to Xyience with the IRS that far up his ass is dilusional for that reason alone, forget his history with the shareholders.

    At this point, the only people with the reason and power to save the company are the shareholders and unless they come to their senses quickly, they are about to see their investments vaporize beyond any possibility for recovery.

    Beneath all the BS and greedy politics is a brand that given extraordinary management guidance, can recover to become something of value. At the moment, you are watching an implosion that will wipe out all of the investors equities within a very short passage of time.

    Suing the parties to blame may accomplish something but it will take years and in just a few weeks the brand is going to be history.

    Even Russel should be in agreement that there is some potential value in his remaining shares if experienced management and direction can be engaged quickly but he can soon kiss that opportunity goodbye.

    The shareholders should be asking where the $12 million went and moving quickly to remove Larry and Moe from the Board. Presumably they are not idle.

    I am a current investor in Xyience. Although, I only invested $450.000 into the company, and am by no means a large shareholder. I ONLY invested BECAUSE of the Fertitta Enterprises involvement. I ONLY invested after Russell Pike was removed as CEO. I think I speak for a majority if the shareholders, that we are happy with the job Adam and Kirk are doing to clean up the company AFTER Pike’s mess of things.
    Pike is a convicted felon and his criminal history is extensive and from what I can see he is still perpetrating crimes for his benefit.
    The Xyience company now has a real opportunity to have a public offering down the road without Pike in charge. Another option is to eventually sell the company down the road, either way I feel confident that the group currently running the company can and will make either option a reality.
    Mr. Pike, seems like a spoiled child, who got caught with his hand in the cookie jar, who is now pouting in the corner, this is evidenced by his resent lawsuit against the new management in charge.
    Adam and Kirk, you have my full support in your efforts as well as 3 other investors I have spoken to.

    Russell Pike has a long history of crimes of Moral Turpitude and has spent many years in prison for those crimes.     The only reason I can think of why you, James William or as some have suggested on this site is really (Ronald Solomon), continue to praise Russell Pike is because you have participated in criminal behavior with him. If you are Ronald Solomon, I heard that you were soliciting investors and receiving a kick back for that. Plus you solicited loans for Pike. These things are illegal. I can understand why you are trying desperately to “bring back our General”. When Pike is finally indicted and arrested, he will squeal on you and everyone else he can to save his ass. The last time he got caught, he even pushed some of the heat onto Jennifer his wife. Why do you think Russell never questioned anything Jennifer did or how much money she spends?

    After watching all this unfold I can truly understand why GREED is one of the 7 deadly sins. Everyone is fighting over who gets to profit the most, and it’s disgusting. Where is the responsibility here? You have one guy who’s being investigated up and down and still trying to maintain he’s the greatest thing since sliced bread. His army of deception is mounting an offensive to try to actually make people believe he’s the angel he thinks he is.

    Then there’s the new crew, and it seems like these guys are even more ruthless. They are taking advantage of a bad situation to reap the rewards for themselves. They ran into a redheaded step child they knew they could smack around, and they seem intent on burying the victim once and for all. Will they raise a new redheaded step child to beat while they’re at it?

    Then there are the Fertittas… the mysterious behind the scenes players who we haven’t heard a peep from regarding this mess. They’re too powerful for anyone to question or criticize in all of this, yet they are pulling the puppet strings. It’s their deal that has brought Xyience to this point, and the Fertittas made that deal to line their own pockets and cover up all the criminal and immoral behavior that gave rise to this catastrophe.

    Where’s the responsibility? When will anyone be brave enough to stand up and admit fault in any of this? Everyone’s just standing there shrugging their shoulders like they never saw what really happened and they had nothing to do with any of it. That’s bullshit. All the “saviors” who swooped in pretending to be on a mission to save Xyience have blood on their hands, and they don’t even bother to wash it off while they go about their business as usual.

    It’s sickening how all this is allowed to happen in this day and age. How have we sunk to the level of existance where this kind of thing is acceptable, where good people follow and support criminals just to make a fat buck off someone else’s misery? How come nobody did the right thing months ago when it was not too late? It is as if Xyience is under a spell, and everyone who touches it turns evil.

    Now, we have everyone fighting for the last scrap on the dinner plate, as if you are all starving and dying of hunger. That one scrap won’t be enough for nourishment, but you fight anyway, because someone has to eat it. Someone has to WIN, even if the battle is pointless in the long run. That’s greed, plain and simple.

    Can’t you all see that all this infighting, namecalling, and bitter back-and-forth bullshit is serving no purpose whatsoever? You’re all fighting for a lost cause, and you’re all mounting a battle you should have waged a long time ago if you ever hoped to get anything accomplished.

    I just hope when the war is over, those who have to mop up the blood and move on will heed the lesson here: money isn’t worth lying, cheating, and stealing to obtain. You should all take a cue from Henry David Thoreau and realize that the trappings of wealth are pointless. Your car, your house, and your bank account don’t define you in the end when you lie lifeless on that cold slab at the morgue. It is your character people will remember you for after you’re gone. It is what you’ve done that you can truly be proud of that stays with you. It is the great deeds you have done for others people will remember, not the selfish things you do to keep yourself fat and happy.

    Most of you spitting insults back and forth at each other are doing it out of selfishness. In order to mask what you have done yourselves, you spout hatred at others. I think everyone needs to take a long look in the mirror and ask yourselves, “What can I do to make this right?”

    I never acted out of hate in all this. Never once did I allow selfish reasons to interfere with my purpose here. Some might think asking for $5 million in the case against me is selfish, but I know I’ll never see a penny. It is the principle, the kind of precedent the judgment will set, and the guide my case will serve as for other bloggers who will no doubt find themselves in my shoes for doing something to pomote justice like I have been trying to do since the beginning.

    All of you who threw a wrench in the process and kept me from reporting on what was going on are now acting in the most ridiculous farce of a performance I have ever seen. Your criticism of my efforts has turned to praise and support, and that just proves your ultimate duplicity. Your zealousness in piggybacking on my work now only shows me that all along while you spat insults at me in previous blog comments you were only mad because I was able to get under your skin by defining you all as what you really were. I saw into your souls and told people what I witnessed, and that made you mad. All you could do as a result was call me gay and try to tell everyone I was a liar.

    Yet, now, when you need me to write the truth, you call on me to do so because you knew all along that’s what I’ve been all about. Even while you were insulting me you never believed the things you were saying and writing about me, but you painted me the villain anyway.     A. Xyience has to survive in some shape or form. They have a sponsorship contract with the UFC for three years signed. The Fertittas simply can’t let the company completely croak.

There’s power in numbers, so I like the underdog in a class action suit from the shareholders, but the suit won’t stop the bankruptcy unless there’s some kind of injunction and the shareholders can find their own capital. So, in the long run I think the Fertittas and Frank and Sanford will come out on top, because they have the most money. Time is of the essence, though. The shareholders need to mount a fast offensive.

    Q. Is the invitation still open for you to join Xyience, or was that a trick and diversionary tactic from Adam and Kirk?

    A. I don’t think Adam and Kirk were ever really seriously going to hire me, but at the time they mentioned it they were filling my head with thoughts of a settlement, a book and movie project about Pike, and having me help them build their own case. I would gladly come in if I was requested to and signed on in an official capacity. The only problem is I’m too honest. When I had lunch in NYC with Adam and Frank, they told me if I came on I could write whatever I wanted to, even if it was bad stuff about them. At that point, I don’t think they realized I was already onto them. If I can find out about all the dirt all the way out here in Massachusetts, imagine what I could find out under Xyience’s own roof. I wouldn’t last long with those crooks. They’d end up finding a way to fire me because I’d be catching them in the act too much.

    Q. Do you see a scenario where Pikes side wins? Do you see a scenario where Adam and Kirk hold on and win? Who has the best chance of success?

    A. Pike has no side. Everyone who is on Pike’s bandwagon is someone Pike has incriminated or insulated himself with somehow. His circle of close associates are all going to get swept up in the federal government’s dragnet. They don’t stand a chance. Pike might be able to win his lawsuit, but it won’t do him much good if he’s behind bars when he wins. At least he might be able to get permission to attend the trial, so he’ll get out from time to time for that. Seems like Kirk and Adam are wasting no time pushing it toward a trial. That seems strange, because what I’ve found is you can get a lot more accomplished with pre-trial motions. The idea is to make the other side spend money. Every response to a motion requires legal fees. Since I was representing myself, I knew I would have to file every motion I could to get Xyience to pay their attorney again before getting to the trial stage. Adam and Frank’s lawyer doesn’t even know Xyience is not a publicly traded company, and his RICO counterclaim is sloppy and not backed up by enough evidence to hold water at this point. It seems like they have their work cut out for them. Meanwhile, Pike has nothing better to do than build his case. Kirk and Adam are distracted by the day to day dismantling of the company. Yet, if it does go to trial, Kirk and Adam will have no criminal records, and they will have more money by that time than Pike can afford to spend on legal fees. Pike’s assetts will no doubt be frozen soon when the IRS finds out what he’s been hiding.

    Q. Which side wins this fight?

    A. Nobody wins. That was my point in the post above. Everyone’s fighting a losing battle here. If Adam and Kirk win, they get to try to collect money from a guy who’s a master at hiding his income. He’ll be behind bars by the time they try to collect it, so the best they can hope for is to garnish his .21 an hour wages for working in the prison laundry. If Pike wins, and if by some miracle he regains control of the company, he’ll be in charge of a company he can’t ever take public as long as he’s associated with it. Nobody wins, because this battle is starting too late, and the soliders fighting it are shooting blanks. It’s pointless.

    I’ve said all along Pike was the lesser of two evils. I’ve also said given the choice between letting Adam and Kirk destroy, steal, and have a yard sale of the Xenergy brand in bankruptcy court(or give the company to the Fertitas for a $12million dollar loan) or choosing between Russell Pike, that I choose Russell Pike. I would prefer someone else, someone with less baggage then Pike, BUT Pike would be the best one to help the company recover in the short term, and then he needs to step away. Pike is not the long term solution. Adam and Kirk aren’t even a short term solution, they’re a LOSSING SOLUTION. It’s going to take a miracle for the company to even recover from all the damage the CO-Morons have caused in the last 11 months. Rich, just so I’m clear, Pike is the lesser of TWO EVILS.

    Well, at least now you’re admitting your “general” is evil. As far as being the lesser of two evils, I’m not sure. For one, there are more than two evils here. Either way, Pike can’t run the company from jail, and even before he goes to jail I’m sure he’s going to be too distracted by the process of mounting a defense for the charges the government will be bringing against him. I don’t get how you think Pike can save the company anyway. His leadership skills don’t make a lick of difference if there’s no money to sustain the business. Under Pike, regardless of all the accolades you list, the company lost $56 million in 2006. I know you’re going to try to trumpet the old standby that every company loses money in the first few years, but that’s a cop out. The fact is, it’s easier to hide the skim when the company’s in the negative. Just like the old musical “The Producers,” it can often be much more profitable to produce a flop than a hit. Pike may be a genius in your eyes, but in the eyes of those who know the truth he is also a criminal, and the government is about to sign, seal, and approve that label when they bring him to trial. Nobody wants someone being investigated by government agencies to be in control of a company. It makes no sense, and the more you spout that crazy idea, the dumber you look.

    Regardless of what happens at Xyience, I think there is a much larger conspiracy going on with the major casino players involved. It can’t be a coincidence that GCA’s stock took a sudden nosedive Nov. 14th. The last quarter they reported unaudited financial reports for showed $156 million in profits for GCA. The more I read into the internal investigation going on there that sparked the stock dive, the more I realize Kirk Sanford’s departure is also no coincidence.

    I also see why he’s had so much trouble adjusting to life at Xyience. It’s just a bad idea having folks connected to the casino business being allowed to be in any way associated with the fight industry other than in a capacity of offering a venue for events and taking bets. There’s so many conflicts of interests involved. It’s a vice industry, and so many people get caught up in addictions to gambling and wind up making these guys rich by squandering their own and in some cases their whole family’s savings.

    Every niche of the vice industry has some kind of loose, direct, or indirect connection to organized crime. Whether it’s prostitution, casinos, or drugs, the mafia permeates the whole scene, and that connection goes back centuries. It’s hard for me to believe that this situation is any different. It sounds like a whole lot of money laundering is going on behind the scenes, and it can’t be just businessmen getting the benefit. It seems to me as if it’s a little more sinister than that. But, that’s just my opinion.

    If people can be so callous as to make billions off the suffering of other people in that kind of business, you can imagine what they might do to the UFC in the long run, or to Xyience once they fully acquire it.

    Jury, I have followed the injunction order to the letter, and anything I’m enjoined from writing has been edited out. Pike’s act is a front. He already bailed out a long time ago. Why do you think the IRS is after him?

    Williams, it’s a complicated matter, and if I were on the inside not having to worry about this foolish and useless case that you helped to fabricate against me, I might help you find a way to call the whole Fertitta deal into question and challenge the legitimacy there. Unfortunately, I’m still being sued for $25 million for the help I tried to offer by exposing what went on at Xyience before all this. If any of you have any kind of smoking gun, you should deliver it to the SEC, FBI, and IRS. If you check back on this site tomorrow at midnight, I will have an all-new blog that will really blow the lid off what’s going on right now. It will be the most comprehensive blog to date, and it will cover everything I missed while being too cautious to report what I knew.

    The key is ACTION. Xyience could be bankrupted by the end of the coming week, and that’s not going to help. You need to come up with an injunction of some sort that prevents that along with capital of your own to sustain Xyience while it’s in limbo.

    Don’t you feel the SEC should be contacted to investigate the
    non-discloser issues at GCA?
    I am told that there is talk of contacting the SEC regarding similar

    Kirk Sanford has been heard bragging to employees at Xyience that
    he only spends 1 hr per day on GCA business while spending the

    completely aware of these facts seem unconcerned with Kirk

    LAS VEGAS – – The former CEO of a Nevada sports energy drink company, Xyience, Inc., has been indicted by the Federal Grand Jury on tax evasion charges, announced Greg Brower, United States Attorney for the District of Nevada.

    Russell Pike, of Las Vegas, is charged with one count of Tax Evasion for failing to file a federal individual income tax return for 2006 and failing to pay taxes on over $6.9 million in income he earned in 2006. Pike is also charged with using nominees and a forward-dated stock sale agreement to conceal his true income from the IRS. Pike was arrested yesterday in Las Vegas and is scheduled to appear in U.S. District Court at 3:00 p.m. today before U.S. Magistrate Judge Peggy A. Leen for an initial appearance and arraignment.

    Pike founded Xyience, Inc., which manufactured, marketed and sold sports energy drinks, most notably, Xenergy, which was sold in over 45, 000 stores throughout the United States. The Indictment alleges that upon the inception of Xyience in 2004, Pike received at least 12 million shares of Xyience stock. During 2006, Pike sold over 4.4 million shares of his Xyience stock for approximately $6.9 million. This includes a sale on about November 2, 2006, in which Pike sold over 3 million shares of Xyience stock to an investor for approximately $5 million. In early 2007, Pike requested that the investor change the date of the stock purchase agreement from 2006 to 2007, so that Pike could avoid paying taxes for 2006.

    In June 2006, Pike listed his income as $100, 000 plus on a brokerage account application. In July 2007, Pike listed his assets as $27 million and his liabilities as $2 million on a life insurance application. In September and November 2006, Pike purchased a condominium in Las Vegas which was titled in the name of a nominee, made payments on a 2005 Lexus SUV that was held in the name of a nominee, and purchased a 2007 Mercedes Benz for $151, 614.

    If convicted, Pike faces up to five years in prison and a $250, 000 fine.

    The case is being investigated by Internal Revenue Service Criminal Investigation and is being prosecuted by Assistant United States Attorney Nicholas D. Dickinson.

    The public is reminded that a Indictment contains only charges and is not evidence of guilt. The defendant is presumed innocent and entitled to a fair trial at which the government has the burden of proving guilt beyond a reasonable doubt.
